Association Constitution and By Laws

By Laws - Article II

Officers

Section 1. The Executive Board:

A. The Executive Board shall have the authority to appropriate funds of no more than fifteen hundred dollars ($1,500.00) per transaction without the prior approval of the general membership.

Section 2. President:

A. The President shall serve as the chief executive officer of the Association. He shall preside at all meetings of the Executive Board and general membership. He shall be responsible for carrying out all Association business and executing all contracts as authorized by the Executive Board and general membership. He shall be responsible for the general management of the Association.

B. The President, or his designate, shall be responsible for all formal communication on behalf of the Association.

C. The President shall attest to all vouchers submitted to the Treasurer.

Section 3. Immediate Past President:

A. The Immediate Past President shall assist and advise the President and other officers of the Association. In the absence of both the President and Vice President, he shall preside at meetings of the Executive Board and general membership.

Section 4. Vice President:

A. The Vice President shall assist the President and, in his absence, preside at meetings of the Executive Board and general membership.

Section 5. Secretary:

A. The Secretary shall record and transcribe the minutes of meetings of the Executive Board and general membership. He shall be the official custodian of the Constitution & Bylaws, amendments adopted, minutes, records, archives and the Seal of the St. Louis County Police Association. He shall attest, under the seal, all authorized contracts and other documents as directed by the Executive Board. He shall be responsible for the general correspondence of the Association.

Section 6. Treasurer:

A. The Treasurer shall be the custodian of funds. He shall maintain all financial records. He shall deposit and invest all funds in accounts approved by the Executive Board. He shall be authorized to make disbursements and shall keep itemized records of disbursements and receipts. He shall make monthly written reports to the Executive Board and general membership regarding all funds and accounts. He shall make available at all meetings of the Executive Board and general membership financial records of the current and previous calendar years.

Section 7. Sergeant-at-Arms:

A. The Sergeant-at-Arms shall have charge and control of the meeting hall. He shall assist the Chair in maintaining order at meetings. He shall assist the President as requested and directed.

Section 8. Ex-Officio Officers:

A. Ex-Officio Officers shall assist and advise the President and other officers of the Association.
