Constitution - Article IV

Meetings & Committees

Section 1. Executive Board meetings shall be conducted on the second Thursday of each month at 6:00 PM, unless otherwise scheduled by the Executive Board. A simple majority of the total of all elected and ex-officio officers shall constitute a quorum.

Section 2. General membership meetings shall be conducted on the second Thursday of each month at 7:30 PM, unless otherwise scheduled by the Executive Board due to conflict with an event of interest to the membership. One or more members, in addition to a simple majority of the Executive Board, shall constitute a quorum.

Section 3. Committees:

A. Committees may be appointed to consider, investigate and/or take action on certain matters or subjects. Committees shall be appointed upon recommendation of the Executive Board or upon motion adopted by the general membership.

B. The President or, in the absence of the President, the Chair of the meeting of the Executive Board or general membership meeting at which the committee is recommended, shall appoint the committee prior to the next meeting of the Executive Board. By virtue of his office, the President shall be an ex-officio member of all committees, with the exception of a committee appointed to investigate a matter of discipline in which the President is a principal party.

C. Committees shall consist of not less than three members. At the time of appointment, the committee chairman shall be named. Members shall have the option to decline appointment. Should a member decline committee appointment, the President or appointing Chair shall appoint another member in his place.

D. The President, or appointing Chair, may appoint himself chairman of any committee, with the exception of a committee appointed to investigate a matter of discipline in which the President or appointing Chair is a principal party.

E. The President, or appointing Chair, shall, at the time of appointment, define and state the purpose of the committee; the form of the final report of committee; and, the date and time the committee is to submit the final report. Final reports of committee may be submitted in written or verbal form as directed by the President or appointing Chair. A simple majority vote of the Executive Board shall be required to modify the purpose of the committee; the form of the final report of committee; or, the date and time the committee is to submit the final report.

F. Upon completion of the matter for which it was appointed and, upon adopted motion to accept the final report at a meeting of the general membership, the committee shall be considered discharged.

G. The Executive Board shall serve as a standing committee of the whole to consider the issuance of endorsement to a candidate, issue or action.

Section 4. The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the St. Louis County Police Association in all cases to which they are applicable and in which they are not inconsistent with this Constitution & Bylaws.
